How to Set Up an LLC in Egypt: Requirements, Steps and Costs

Setting up a limited liability company (LLC) in Egypt does not start with submitting papers to the General Authority for Investment and Free Zones (GAFI). It starts with agreeing how the partners will relate to each other.

The procedures can be completed and the company can start trading, and only then does a dispute surface over who holds management authority, whether a partner can sell their stake, how profits are distributed or what happens when someone wants to leave. By that point the company exists, but the most important questions were never settled precisely enough.

That is why forming a company should not be seen as an administrative task whose only aim is a commercial register extract and a tax card. An LLC is a legal structure that defines who owns the business, how far the partners are liable, how decisions are made, what powers the managers hold and how quotas are transferred.

Setting up an LLC in Egypt: requirements, steps and costs

The limited liability company is one of the legal forms of capital companies in Egypt. It is flexible, has its own estate separate from its partners, and is among the most common company types in Egypt because it suits small and medium-sized businesses. Egyptian law regulates it under Law No. 159 of 1981 and its executive regulations. Each partner’s liability is limited to the value of their stake in the capital and does not extend to their personal assets. The company has at least two partners and no more than fifty, and its articles of incorporation are approved by GAFI.

This form lets investors protect their personal assets while giving them flexibility to manage, invest and expand in the Egyptian market.

But incorporation does not begin by uploading documents to the GAFI portal. Before that, you need to identify the real partners, the ownership percentages, the capital, the managers and their powers, how decisions will be made, and whether the activity can be carried on through this legal form or needs a special licence. Under the rules in force at the date this guide was reviewed, an LLC needs at least two partners and no more than fifty, there is no general minimum capital, and partners and managers may be foreign, with no requirement for an Egyptian manager. Restrictions on certain activities and the rules on foreigners’ residence and work still have to be observed.

What is a limited liability company under Egyptian law?

This legal form is governed by the Law on Joint Stock Companies, Partnerships Limited by Shares, Limited Liability Companies and Single-Person Companies, issued as Law No. 159 of 1981, as amended.

Article 4 defines the LLC as a company with no more than fifty partners, each liable only to the extent of their stake. It may not be formed, increase its capital or borrow through public subscription, and it may not issue tradable shares or bonds.

Its capital is not divided into tradable shares but into quotas. Quota transfers are subject to the other partners’ right of pre-emption (redemption) and to the conditions in the law and the articles of incorporation.

Limited liability does not give a partner or manager absolute immunity. Personal liability can arise from a personal guarantee, fraud, false statements, a legal violation or a fault independent of simply being a partner, depending on the facts.

When is an LLC the right choice?

It can suit a business owned by a limited number of partners that does not rely on offering shares to the public and whose founders want to organise ownership and management within an entity that has its own legal personality.

It is typically used in trading, services, industry and other activities that may be carried on in this form, provided the required sector approvals and licences are obtained.

But it is not automatically the right choice. If one person owns the business, the single-person company is the form to consider, rather than adding a nominal partner. If the business plan relies on many investors, funding rounds and broader governance, a joint stock company may be more suitable. Our guide to company formation in Egypt compares the main company types.

Activities an LLC cannot carry on

It is important to distinguish between an activity that can be carried on once licensed and an activity the law does not allow an LLC to carry on at all.

Under Article 5 of the Companies Law, an LLC may not engage in:

  • Insurance.
  • Banking.
  • Savings activities.
  • Receiving deposits.
  • Investing funds on behalf of others.

Laws governing other activities may also require a particular legal form, a special minimum capital, or conditions on the partners’ nationality, ownership structure or management. The activity should therefore be checked before the legal form is chosen, not after the company is incorporated.

Requirements for setting up an LLC in Egypt

1. At least two and no more than fifty partners

The company needs at least two genuine partners. A partner may be a natural or legal person, provided the law and its own articles allow it to participate.

The minimum is not only relevant at incorporation. If the number of partners later falls below two, the company is dissolved by operation of law unless, within six months, it restores the number or the remaining partner applies to convert it into a single-person company. During that period, the remaining partner is liable with all their assets for the company’s obligations, under Article 8 of the Companies Law.

2. Setting the capital and allocating the quotas

The partners set the capital in the articles of incorporation, divided into quotas of equal value. The number of quotas each partner holds must be stated, reflecting their share of the capital.

A verbal agreement on ownership percentages is not enough, because voting rights, profit rights and quota transfers depend on what is recorded in the company’s contract and records.

3. Paying cash quotas in full

The company is not formed unless all cash quotas are allocated among the partners in the articles and paid in full.

The fact that a bank certificate is not generally required in the usual file does not mean capital may remain unpaid. There is a difference between the legal obligation to pay for the quotas and the administrative document used to prove it during incorporation.

4. Valuing in-kind contributions

If a partner contributes an asset or a right in kind to the capital, the articles must state the type of contribution, its value, the contributor’s name and the number of quotas allotted for it.

For LLCs, GAFI requires a report from qualified experts in professions regulated by law, depending on the nature of the contribution. The contributor and the other partners remain responsible for the accuracy of the valuation within the limits and circumstances set by law.

A partner’s expertise, future work or a mere idea does not become an in-kind contribution to capital simply because the founders agree it should. It must be verified that the asset or right can be valued and can lawfully form part of the capital.

5. Choosing the company name and head office

You need an acceptable trade name that is not confusingly similar to an existing company’s name, and a non-confusion certificate obtained through the channel GAFI announces.

You also need to set the address of the head office from which the company is managed. Any later change of address must be publicised; otherwise, notices and proceedings may be served at the address recorded in the commercial register.

6. Defining the company’s purpose

The company’s purpose must be lawful and specific. Listing an activity in the articles or the commercial register does not replace the approval or licence needed to carry it on if it is a regulated activity.

Nor should multiple activities be added just to widen the purpose: some activities carry different capital, technical or regulatory requirements.

7. Appointing one or more managers and defining their powers

The company is managed by one or more managers, who may or may not be partners. The first managers are appointed by the founders; afterwards, they are appointed or replaced under the law, the articles and general assembly resolutions.

The articles should state whether each manager signs alone or jointly, and set the limits of their authority over contracting, borrowing, banking, litigation, hiring, granting powers of attorney, and selling company assets or granting security over them.

8. Appointing an auditor

The articles must appoint an auditor qualified to audit and approve the financial statements of capital companies, together with the documents GAFI requires to prove the auditor’s registration and acceptance of the appointment.

9. Forming a supervisory board if there are more than ten partners

If there are more than ten partners, oversight must be entrusted to a board of at least three partners, appointed in the articles of incorporation.

The board monitors the managers’ work and may request reports, inspect the company’s books and documents, and review the financial statements, the annual report and the proposed profit distribution, within the limits set by law.

Can a foreigner set up an LLC in Egypt?

As a rule, a partner may be foreign, and all of the company’s quotas may be held by foreign partners, unless the law governing the activity, the geographic location or the nature of the project imposes a specific restriction.

But holding a stake in the capital does not automatically give a foreigner residence in Egypt or a permit to work there. Owning quotas, residence, a work permit and licensing the activity are separate legal matters, and each may need its own track and documents.

Foreign partners’ files also require identification documents, and documents issued abroad may need legalisation and translation depending on the issuing country and the type of document.

Can a foreigner be the manager of an LLC in Egypt?

A foreign manager may be appointed to an LLC, whether a partner or not, and all of the company’s managers may be foreign: the current law does not require an Egyptian manager.

The requirement for an Egyptian manager appeared in the former text of Article 281 of the executive regulations of the Companies Law and was abolished by Decree No. 256 of 2018 of the Minister of Investment and International Cooperation. What is now required is that the manager meets the conditions in Article 89 of the Companies Law, which concern not having been convicted of the offences specified there.

Appointing a foreigner as manager, or recording their name in the commercial register, does not automatically give them residence or a work permit. If they will actually manage the company from inside Egypt, the requirements for a work permit and entry and residence for work purposes under Labour Law No. 14 of 2025 and its implementing decrees must be met, unless an exemption applies.

Under Article 121 of the Companies Law, managers have full authority to represent the company unless the articles restrict it. Managers’ powers should therefore be drafted carefully, and any later change or restriction recorded in the commercial register, because a resolution restricting powers or changing the manager is not effective against third parties until publicity is completed and the period set by law has passed.

What is the minimum capital for an LLC in Egypt?

The Companies Law sets no general minimum capital for an LLC. The partners set the capital in the articles of incorporation, divided into quotas of equal value.

The absence of a general minimum does not mean any figure suits every project. The law governing a particular activity may set a special minimum, and the capital should reflect what the partners have actually agreed to contribute and the project’s nature and obligations.

The LLC should not be confused with the single-person company or the joint stock company: each form has different rules on capital, payment and proof.

Must the capital be deposited in a bank before incorporation?

Article 17 of the Companies Law, as amended by Law No. 4 of 2018, exempts LLCs from providing the bank certificate referred to in that article.

Even so, cash quotas must be allocated and paid in full, and the documents may differ in special cases, such as a change of legal form, a capital increase or the rules of a specific activity.

Is a bank deposit required for a capital increase?

Yes, if the increase is in cash. Forming a new company and increasing the capital of an existing one are different matters: under GAFI’s current requirements for company amendments, an LLC must provide a bank certificate confirming that the full amount of a cash capital increase has been paid.

If the increase is in kind, a bank certificate is not the document that proves the in-kind portion. GAFI requires a valuation report from qualified experts, depending on the nature of the asset or right contributed, with the partners approving the valuation at the meeting that resolves the increase, followed by amending the articles and completing the required publicity and registration. For a mixed increase, each part is evidenced separately: a bank certificate for the cash part and a compliant valuation for the in-kind part.

A resolution to increase the capital is not enough on its own. The resolution, payment, amendment of the articles, approval of the minutes and annotation of the commercial register are linked steps that must all be completed before the increase appears in the company’s documents and takes legal effect.

Documents required to set up an LLC in Egypt

The final set of documents depends on the partners’ nationality and capacity, the nature of the contributions, the activity and the investment regime. According to GAFI’s current service page, the basic documents include, as applicable:

  1. A certificate that the company’s proposed trade name is not confusingly similar to an existing name.
  2. Copies of computerised powers of attorney from all partners (an LLC has no fewer than two and no more than fifty partners).
    • The power of attorney must expressly cover incorporating companies and signing articles of incorporation before the Real Estate Registry (notary). If the agent is one of the partners, it must include the phrase “to contract with oneself and with others in incorporating companies”.
  3. Clear, valid ID copies of the founders or partners:
    • National ID for Egyptians.
    • Passport for foreigners.
  4. An original official extract from the Register of Accountants and Auditors, addressed to GAFI, confirming the company auditor is entitled to audit and approve the financial statements of capital companies for the first time, or an original acceptance-of-appointment declaration if the auditor has already submitted this certificate to GAFI.
  5. A copy of the Bar Association membership card of the lawyer certifying the contract before the Bar Association (at least a first-instance lawyer, with a valid card).
  6. Investor identification forms for foreign partners, as a document and on CD.
  7. The name and address of the company’s legal adviser, who must be registered at least at the Court of Appeal level.
  8. Clear, valid ID copies of the agent:
    • National ID for an Egyptian.
    • Passport for a foreigner (valid residence required).
  9. The competent authority’s approval if any of the company’s purposes requires a special approval under the laws in force (prior approval).
  10. Where there is an in-kind contribution at incorporation: for an LLC, a report from qualified experts in professions regulated by law, according to the nature of each contribution, may suffice.
  11. For a company operating under the free zones regime under Investment Law No. 72 of 2017, the same documents plus:
    • Public free zone: GAFI’s prior approval, issued by the board of the free zone where the project will be located.
    • Private free zone: Cabinet approval before incorporation.
  12. For a capital company resulting from converting a partnership formed under the Commercial Code into a capital company under Laws No. 72 of 2017 and No. 159 of 1981, the same documents plus:
    • A valuation report of the in-kind contribution (net assets and liabilities of the partnership), issued by the committee formed by decree of the GAFI chairman for this purpose.
    • The partnership contract and its summary, and all subsequent amendment contracts and their summaries, duly registered with the court.
    • Minutes of the partners’ meeting approving the change of legal form before the valuation.
    • Minutes of the partners’ meeting approving the valuation result and the company’s key terms after conversion (capital and its allocation among the partners, activity, etc.).
    • A preamble setting out the company’s history from its formation contract through its amendments to the partners’ meeting, on CD.
    • A recent commercial register extract for the partnership.
  13. For one or more capital companies formed by dividing an existing company:
    • The GAFI chairman’s decision approving the division.
    • The in-kind contribution valuation report.
    • The dividing company’s commercial register extract, annotated with the division.
    • A copy of the minutes of the extraordinary general assembly approving the division, approved by GAFI.
    • A copy of the minutes of the extraordinary general assembly approving the valuation result, approved by GAFI.
    • The draft division contract, approved by GAFI.

There are additional requirements for incorporation in free zones, conversion of an existing company, division, or carrying on a regulated activity. The document list shown on the portal at the time of filing should always be checked, rather than relying on an old list detached from the file’s details.

GAFI document checklist for LLC formation (official, in Arabic):

Steps to set up an LLC in Egypt

Step 1: Review the activity and the legal form

First confirm that the activity can be carried on through an LLC, and whether it needs a prior approval or imposes special conditions on capital, ownership or management.

Step 2: Agree the company structure

The partners decide:

  • Ownership percentages and number of quotas.
  • The capital and each partner’s type of contribution.
  • The manager or managers.
  • Signing and representation powers.
  • How key decisions are made.
  • The rules for admitting a new partner or the exit of an existing one.
  • The matters that require special partner approval.

This stage is not a commercial discussion separate from incorporation: the decisions it produces must be reflected in the company’s articles and any supplementary agreements.

Step 3: Obtain the name non-confusion certificate

A certificate is obtained confirming the proposed trade name is not confusingly similar to an existing company’s name, through the channel GAFI announces. In practice, it helps to prepare more than one alternative name before applying.

Step 4: Prepare the powers of attorney and documents

Make sure the powers of attorney give the agent the necessary authority, and that documents for foreign partners or corporate partners meet legalisation and translation requirements where needed.

Step 5: Draft the articles of incorporation

The articles contain the company’s essential details, including its name, purpose, head office, duration, capital, allocation of quotas, managers and their powers, auditor, and supervisory board if there are more than ten partners.

The articles should not be treated as a formality: imprecise wording on the manager’s powers, quota transfers or voting can turn into a dispute once the business is running.

Step 6: File on the GAFI online portal

GAFI presents its online portal as the current service channel and refers to the use of digital identity for its upgraded incorporation services as of 8 February 2026.

The applicant creates an account and workspace, selects the service, enters the data and uploads the required documents for review, following the incorporation journey available at the time of filing.

Step 7: Pay the fees and sign

After the application is reviewed, fees are paid through the available channels, and the incorporation documents are signed electronically under the system in force and its signature or digital identity requirements.

Step 8: Issue and register the company documents

Once the procedures are complete, the company documents are issued and the company is registered in the commercial register through the prescribed track. The company acquires legal personality upon registration in the commercial register, under Article 51 of Investment Law No. 72 of 2017.

Issuing the incorporation documents does not mean the company is automatically licensed to carry on every activity: other licences and registrations may be needed before operations start.

How long does LLC formation take in Egypt?

GAFI announces a service timeframe of one working day for incorporating an LLC.

That timeframe applies to a complete application within the announced service. It is not a guarantee that every file will be completed in one day regardless of its condition. A file may be delayed by:

  • Missing or unclear documents.
  • Rejection of the proposed trade name.
  • A deficient power of attorney.
  • Foreign documents not properly legalised or translated.
  • An in-kind contribution.
  • The need for a prior approval.
  • Comments on the company’s details or articles.

The time to create the entity should also be kept separate from the time needed for an activity licence, work permit, residence or any later registration.

How much does it cost to set up an LLC in Egypt?

There is no single figure for every company, because the fees depend on the capital, the file’s details and the related services and documents.

Depending on the case, the cost may include:

  • Government fees and service charges.
  • Certification, notarisation and registration fees.
  • The cost of electronic signature or digital identity under the system in force.
  • Translation and legalisation of foreign documents.
  • Valuation of in-kind contributions.
  • Fees for sector approvals or licences.
  • Professional fees for preparing the file, the articles and the shareholders’ agreement, and following up the procedures.

GAFI publishes its fees and service charges on the service page. The cost should therefore be calculated on the company’s details and the fees in force on the filing date, rather than a fixed figure that may no longer be accurate.

GAFI fee schedule for LLC formation under Investment Law No. 72 of 2017 (official, in Arabic):

Articles of incorporation vs. shareholders’ agreement

The articles of incorporation are the core document that creates the company and sets out its essential elements. But they may not address in detail everything the founders need in their working relationship.

The partners may, at or after incorporation, enter into an agreement governing their relationship under Article 9 bis of the Companies Law. Such an agreement may cover:

  • Additional funding obligations.
  • Founders’ time commitment and executive roles.
  • Decisions reserved for special approval.
  • Intellectual property and confidential information.
  • Deadlock situations.
  • Investor entry and partner exits.
  • Valuation principles and sale mechanisms for quotas.

A shareholders’ agreement does not bind partners who are not party to it unless the extraordinary general assembly approves it by a majority of at least three-quarters of the capital, or by the higher majority required in cases set out in the executive regulations.

The agreement must also not conflict with mandatory rules or the articles. If a provision is meant to take effect against the company or third parties, it may need to be included in the articles, with the amendment and publicity procedures completed, depending on its nature.

How are LLC quotas transferred?

LLC quotas are not traded the way shares of listed companies are traded on the stock exchange.

A quota may be sold by an official deed or one with certified signatures, unless the articles provide otherwise. A partner intending to sell must notify the other partners, through the managers, of the offer received and its terms.

The other partners have the right to redeem the quota sold on the same terms. If one month passes from notification of the offer without any of them exercising that right, the partner is free to dispose of the quota, subject to completing the procedures, amendments and publicity required for the transfer to take effect.

The articles or a shareholders’ agreement should address valuation, sales to related parties, transfer of quotas on death and resolution of price disputes, without breaching mandatory provisions of the law.

The manager’s liability and the limits of their powers

A manager is not just a name recorded in the commercial register. They represent the company within the limits of the law and the articles, and their acts have legal and financial consequences that may bind the company.

As a rule, managers have full authority to represent the company unless the articles restrict it. Vague, unconsidered wording should therefore be avoided, and the articles should specify whether the following require a sole signature, joint signatures or prior partner approval:

  • Borrowing and granting security.
  • Opening and operating bank accounts.
  • Buying or selling real estate.
  • Disposing of a material company asset.
  • Contracting with parties related to the manager or a partner.
  • Granting powers of attorney and delegating to others.
  • Entering into contracts above a set value.

Managers are treated, for liability purposes, like board members of joint stock companies, to the extent consistent with the nature of the LLC. A manager may be held liable for breaching the law or the articles, or for mismanagement, depending on the facts.

Common mistakes when setting up an LLC

Adding a nominal partner

A partner recorded in the articles holds a quota and legal rights. Adding someone only to reach the minimum number can lead to a real dispute over ownership, management or profits.

Assuming a foreign partner automatically gets residence

Forming the company or owning quotas does not grant residence automatically. The appropriate basis for residence has to be identified and its conditions met separately.

Insisting on an Egyptian manager based on outdated information

This requirement was abolished when Article 281 of the executive regulations was amended by Decree No. 256 of 2018. All managers may be foreign, subject to the work permit and residence rules if they work from inside Egypt.

Choosing a token capital

The absence of a general minimum does not mean the partners should pick a figure that does not reflect their agreement or the activity’s requirements. Cash quotas must also be paid in full as a matter of law.

Confusing incorporation with licensing

Issuing the company contract and commercial register extract does not remove the sector approvals and licences needed to operate.

Giving the manager unlimited powers without controls

Broad powers may feel convenient at the start, but they can allow material acts that the other partners never intended to delegate.

Relying on a template contract alone

A template may complete the incorporation, but it does not necessarily settle future funding, voting deadlock, partner exits, intellectual property or non-competition.

Relying on outdated fees or document lists

Filing channels, documents and fees can change. GAFI’s service page and online portal should be checked when preparing each file.

What comes after incorporation?

Once the incorporation documents are issued, the company must complete what it needs to operate lawfully, including, depending on the activity and the case:

  • Obtaining operating licences.
  • Completing tax registrations and obligations.
  • Implementing the e-invoice or e-receipt systems where applicable.
  • Opening the bank account and setting signing authority.
  • Keeping the required legal and accounting books and records.
  • Organising employment contracts and social insurance files.
  • Obtaining work permits and residence for foreign employees or managers where needed.
  • Holding general assemblies and approving the financial statements within the legal deadlines.
  • Publicising any change to the managers, capital, quotas, head office or activity.

These obligations vary with the activity, the size of the company and its workforce, so the incorporation documents should never be treated as the end of the company’s legal file.

Resolutions amending an LLC

Resolutions amending an LLC’s constitutional documents are taken, depending on the type of amendment, by an administrative decision or by a resolution of the ordinary or extraordinary general assembly, as follows.

1. Administrative decision

  • Opening or closing a branch, and appointing, removing or replacing a branch manager, where the manager is authorised to do so.
  • Hiring and dismissing employees and imposing disciplinary measures under the law.
  • Accepting the auditor’s resignation and appointing another auditor when the position becomes vacant, with the appointment presented to the next general assembly.

2. Ordinary general assembly

The ordinary general assembly meets at least once a year within the three months following the end of the company’s financial year. Its powers include, in particular:

  • Discussing and approving the financial statements for the year ended.
  • Discussing the auditor’s report.
  • Appointing or reappointing the auditor and setting their fees.
  • Considering profit distribution and approving donations under the law and the articles.

3. Extraordinary general assembly

The extraordinary general assembly meets when the articles need to be amended, for example to:

  • Increase or reduce the company’s capital.
  • Amend the company’s purpose.
  • Change the head office, unless the manager is authorised to do so in the articles.
  • Extend or shorten the company’s duration.
  • Dissolve the company before the end of its term and place it in liquidation.

The LLC offers a degree of flexibility in organising management and decision-making, with each partner’s liability limited, as a general rule, to the value of their stake. The articles should therefore clearly set out the managers’ remit and powers and the mechanism for partners’ decisions, to keep the company running smoothly and reduce the risk of future disputes.

Frequently asked questions about LLCs in Egypt

Can one person set up an LLC in Egypt?

No. An LLC needs at least two partners. A single founder can consider a single-person company, which is a separate legal form with its own rules.

What is the maximum number of partners?

No more than fifty. If there are more than ten partners, a supervisory board of at least three partners must be formed.

Can foreigners own 100% of an LLC in Egypt?

In principle yes, unless there are restrictions linked to the activity, the location or a special law. Those restrictions should be reviewed before incorporation.

Is an Egyptian manager required?

No. The requirement for an Egyptian manager was abolished by Decree No. 256 of 2018, and all managers may be foreign, provided they meet the legal eligibility conditions and observe the work permit and residence rules if the foreign manager works from inside Egypt.

Is there a minimum capital for an LLC in Egypt?

There is no general minimum capital for an LLC. The partners set it in the articles, taking into account any special minimum imposed by the law governing the activity.

Is a bank certificate required?

A bank certificate is not a general requirement for incorporating a new cash LLC on the usual track. Cash quotas must still be allocated and paid in full, and requirements may differ in special cases.

Does forming the company give a foreign partner or manager residence?

No. Incorporation, ownership and management do not automatically grant residence or a work permit. The conditions for residence and a work permit must be met on their own separate legal track.

Can the business start operating as soon as the commercial register is issued?

Not in every case. If the activity needs a licence or sector approval, it cannot begin before that is obtained, even if the activity is listed in the company contract and the commercial register.

How long does incorporation take?

GAFI’s announced timeframe is one working day for a complete application. Files that need additional documents or special approvals may take longer, and licensing the activity has its own timeline.

Can a partner sell their quota to an outsider?

Yes, subject to the other partners’ right to redeem the quota on the same terms, and the notification procedures and time limits in the law and the articles, followed by the necessary amendment and publicity.

How LegalIn helps you set up your company

Setting up a company is more than filling in a form and uploading documents. Choices about the legal form, ownership percentages, the manager’s powers and the shareholders’ agreement can determine the business’s ability to operate, attract funding and resolve disputes in the future.

LegalIn’s lawyers help founders and investors review the activity, choose the legal structure, organise ownership and management, draft the articles and shareholders’ agreement, prepare the documents and follow up the incorporation and licensing procedures, based on the details of each case.

This article provides general legal information based on the rules and sources available at the date of review. It does not replace a review of the facts and documents of each case or verification of the administrative instructions in force at the time of filing.

LegalIn Law Firm services for LLC formation in Egypt

Forming a company is not limited to preparing powers of attorney, filing documents and following up the commercial register. Those steps are necessary, but they come after legal decisions whose effects last for the life of the company: the legal form, the allocation of ownership, the management structure, the managers’ powers, and the rules for partners joining and leaving.

LegalIn Law Firm provides legal support for company formation of limited liability companies in Egypt, from reviewing the activity and ownership structure through to completing the incorporation and reviewing the company’s final documents.

Depending on each case and the agreed scope of work, our services can include:

  • Reviewing the project and the most suitable legal form before incorporation.
  • Identifying the law and regulatory framework under which the company will be formed.
  • Reviewing the company’s activity and its related restrictions, approvals and licences.
  • Reviewing the ownership structure, partners’ percentages and allocation of quotas.
  • Incorporating companies with foreign investors or foreign corporate partners.
  • Reviewing foreign documents and their translation and legalisation requirements.
  • Preparing and reviewing the powers of attorney needed for incorporation.
  • Obtaining the trade name non-confusion certificate.
  • Drafting the articles of incorporation and reviewing their clauses.
  • Structuring the powers of the manager or managers and signing and representation limits.
  • Drafting a shareholders’ agreement where needed, covering management, funding, exit, quota transfers and dispute resolution.
  • Following up the incorporation application and responding to comments from the competent authorities.
  • Completing the commercial register, tax card and other registrations within the scope of the engagement.
  • Legal support on the licences and approvals required to operate.
  • Amending the company contract on a change of activity, head office, capital or management.
  • Handling the admission of new partners, partner exits and quota assignments.
  • Ongoing legal support after incorporation, including reviewing the company’s contracts and resolutions.

The value of legal work does not start when the file is submitted, but before it. Reviewing the manager’s powers, spotting a restriction linked to the activity, or organising a partner’s exit from the outset can prevent a costly amendment or a dispute that is hard to resolve once the business is running.

If you are planning to set up an LLC in Egypt, LegalIn Law Firm can review the activity, the partner structure and the required documents, and give you a clear picture of the procedures, fees and professional fees before any work begins, then handle the incorporation and related steps within the agreed scope.
