From Egypt to Saudi Arabia
• International Business Setup
Your company in Egypt can be your route into the Kingdom
Saudi Investment Law allows a foreign investor to be an individual or a company. Your Egyptian company can therefore enter the Saudi market as the investor, owning or holding a stake in the new entity, instead of the partners investing in their personal capacity.
If you do not have a company in Egypt yet, we start by setting it up here and then move to the Saudi step. You deal with LegalIn alone, from Egypt. We handle the in-country steps through our network of offices there, so you do not need to engage another firm.
• Is this route for you?
- An existing Egyptian company with customers or potential contracts in Saudi Arabia.
- Founders who want ownership and management tied to one entity.
- A venture planning to bring in investors later at parent-company level.
- Anyone without a company yet who wants to start from Egypt and then expand.
• Starting point
Two ways to start
Route one
You have an existing company in Egypt
We review its legal status and documents, prepare its commercial register and financial statements for attestation, then register it as an investor with the Saudi Ministry of Investment.
Route two
You do not have a company in Egypt
We set up your company in Egypt in the form that fits your expansion plan, then build the Saudi route on it.
• Why through your Egyptian company?
What this route adds
Whether it fits depends on the activity and the partners’ structure; we compare it with partners investing personally before starting.
Ownership and management in one entity
Ownership and management stay tied to one entity you know and run.
A structured relationship between the two companies
The relationship between the companies is built on clear contracts from day one.
Flexibility for future investors
Partnerships and new investors can be arranged later at parent-company level.
• How we handle the file
From your Egyptian company to the Saudi entity
- Reviewing the Egyptian company: its form, register, financial statements and signing authority.
- Reviewing the target activity in Saudi Arabia and its conditions.
- Setting the structure of the Saudi entity and ownership percentages.
- Preparing and attesting documents.
- Registering with the Ministry of Investment and entering the commercial register.
- Drafting the contracts between the two companies: services, supply or trademark licence, depending on the relationship.
• Documents
What the Egyptian company usually needs
- An up-to-date commercial register.
- Financial statements for the last financial year.
- Attestation of documents by the Saudi embassy.
- A resolution from the competent body of the company approving the Saudi investment and naming its representative.
We set the final list after reviewing the type of registration and the activity.
• Common pitfalls
What can delay the file?
Starting in Saudi Arabia while the Egyptian company is behind on updating its register or financial statements.
The Egyptian company’s objects or its managers’ powers not covering a decision to invest abroad.
Leaving the relationship between the two companies without contracts, so funds and liabilities get mixed.
Using the trademark in Saudi Arabia without protecting it there.
• FAQ
Questions we often hear before expanding to Saudi Arabia
Can an Egyptian company be an investor in Saudi Arabia?
Yes. The Investment Law defines a foreign investor as a natural or legal person, and registering a company requires its register and financial statements, attested.
I do not have a company in Egypt. Should I start there?
It is an option we suggest when it fits your plan; you can also set up directly in Saudi Arabia. We decide after reviewing your case.
Is an Egyptian commercial register enough?
The latest financial statements are usually required too, both attested by the Saudi embassy.
Do we need another firm in Saudi Arabia?
No. We handle the whole file through our network of offices there.
What about our trademark?
Registration in Egypt does not automatically protect it in Saudi Arabia; we review protection there as part of the file.
